By using the AutoGuard Naija platform (the “Platform”), you agree to these Terms of Use
(“Terms”) and all applicable laws. AutoGuard Naija is an online marketplace in Nigeria that
connects third-party sellers and buyers. These Terms govern all users of the Platform,
whether you act as a buyer (customer) or a seller. You must be at least 18 years old to
create an account and use the Platform. By registering an account and using the Platform,
you accept and consent to the terms here and any updates we post. If you do not agree
with these Terms, you must stop using the Platform immediately. We may amend these
Terms at any time by posting the revised Terms on the Platform; your continued use after
changes are posted constitutes acceptance of those changes. Whenever you access the
Platform, please review the most current Terms.
• Account Creation: To make purchases or list products for sale, you must create an
account on the Platform. Account registration requires providing accurate,
complete, and up-to-date information (name, address, email, etc.) and setting a
secure password. You are responsible for the accuracy of all account information
and must update it promptly if it changes. You may not create or use an account on
behalf of another person, and you may not share your account credentials.
• Age and Authority: You must be 18 or older to hold an account. If you are under 18,
a parent or guardian must create the account for you. By creating an account and
using the Platform, you represent that you have full legal capacity to do so.
AutoGuard Naija may verify age or identity information at any time.
• Account Security: You are solely responsible for maintaining the confidentiality of
your account login and password. You must notify AutoGuard Naija immediately of
any unauthorized use or security breach of your account. We are not liable for any
losses or damages arising from unauthorized use of your account. You agree not to
use anyone else’s account without permission.
• Termination of Account: You may close your account by contacting customer
support. Upon termination, your access to account-only features ends and your
stored data will be removed or anonymized as required. When an account is closed,
any reviews or comments you posted may be anonymized and your personal
information deleted. AutoGuard Naija also reserves the right to suspend or
terminate your account if you violate these Terms or applicable law, at our sole
discretion.
• AutoGuard Naija operates as an e-commerce marketplace that allows third-party
sellers to list and sell automobile parts and accessories. However, all products
listed by sellers must be delivered to AutoGuard Naija’s fulfillment hub for
inspection and verification before being shipped to customers.
• Sellers are not responsible for shipping directly to customers. Instead, they are
required to:
• Deliver listed products to AutoGuard Naija’s designated hub within the agreed
timeframe.
• Ensure that the items match the product listing in description, quality, and quantity.
• Once received, AutoGuard Naija will inspect the item for authenticity, quality,
and compliance with listing details. Only approved products will be packaged and
shipped to the customer by AutoGuard’s logistics partners.
• AutoGuard Naija is fully responsible for packaging, customer delivery, and
post-sale support. This model ensures consistent quality control, reduces
counterfeit risks, and strengthens customer trust.
• Note: Any delays, discrepancies, or issues in seller delivery to the hub may lead
to suspension or removal of seller privileges.
All sellers on the platform must:
• Submit only accurate listings, including part numbers, vehicle compatibility, and
clear photos.
• Deliver the item to the AutoGuard Naija hub upon sale confirmation or within a
preagreed delivery cycle.
• Avoid listing items they cannot supply promptly or accurately.
• AutoGuard Naija will not ship unverified or mismatched products. If a product
fails inspection, it will be rejected, and the seller may face penalties as per seller
agreement terms.
• Buyers will receive: Verified and authentic items, approved by AutoGuard Naija.
• Reliable, timely shipping (same-day within Lagos, next-day nationwide).
• Support for returns and exchanges in line with our Return Policy.
• Premium Listings: AutoGuard Naija may offer optional paid services (e.g. featured
or highlighted listings, advertising credits, etc.) to promote products.
These are onetime purchases (no ongoing subscription). Sellers may choose to purchase these
additional services at the listed fee. All fees for premium features must be paid in
advance. Fees are generally non-refundable, except as required by applicable law.
If a premium service is not delivered due to system error, we will refund the fee or
offer a substitute service.
• Fee Responsibility: Sellers are responsible for all fees they incur. Fees are
exclusive of taxes unless stated. In accordance with Nigerian law (Finance Act
2020), online vendors are required to charge and remit VAT on services supplied.
Therefore, where applicable, VAT or other taxes may be added to premium feature
fees and must be paid by the seller.
• No Subscription Required: There is no charge or subscription fee for basic use of
the Platform. You can browse, buy, and sell standard listings without a
subscription. Premium features are strictly optional enhancements.
• Content Ownership and License: The Platform may allow users to post reviews,
ratings, comments, photos, or other content (collectively “User Content”) about
products or the Platform. You retain ownership of any User Content you submit.
However, by posting User Content you grant AutoGuard Naija an irrevocable,
nonexclusive, royalty-free, worldwide license to use, display, reproduce, modify,
publish, and distribute that content in connection with the Platform. This license
extends to all forms of media and to other users of the Platform. You also allow
other users to view, copy, and quote your content within the Platform.
• User Responsibility: You are solely responsible for all User Content you post. You
must ensure that you have all rights to post that content and that it complies with
applicable laws and our policies. You warrant that your content does not violate any
third-party rights (e.g. copyright, trademarks, privacy) and is not illegal, defamatory,
infringing, or objectionable. For example, our Terms require that all User Content
must abide by our Acceptable Use Policy and applicable laws. You indemnify
AutoGuard Naija against any claims arising from your User Content.
• Content Moderation: AutoGuard Naija does not endorse user-generated content,
and we do not verify its accuracy. Nevertheless, we reserve the right to review,
monitor, or remove any User Content at our discretion. We may remove or reclassify
content that violates our policies or Nigerian law. For instance, if content is
defamatory or unlawful, we may delete it. However, note that under proposed
Nigerian regulations, platforms may be held liable for user content. We encourage
users to post responsibly and note that we may report illegal content to authorities
if required by law.
• No Liability for User Content: Except as expressly provided, AutoGuard Naija does
not guarantee and is not responsible for User Content. We make no representations
about the accuracy or quality of reviews or comments posted by users. You agree
not to hold us liable for User Content provided by others.
• No Professional Advice: Any information on the Platform (including written
material, images, or communication) is for general information only and should not
be relied upon as legal, financial, or other advice. You should obtain professional
advice before making decisions based on the Platform content. Nothing on this
Platform constitutes a guarantee or warranty by AutoGuard Naija.
• “As Is” Basis: The Platform and all services are provided on an “as is” and “as
available” basis. Except as required by law, AutoGuard Naija expressly disclaims all
warranties of any kind, whether express, implied or statutory, including but not
limited to warranties of merchantability, fitness for a particular purpose, title, or
non-infringement. We do not guarantee that the Platform will be uninterrupted,
error-free, or free of viruses or other harmful components. We make no warranty as
to the accuracy, completeness, or reliability of any content or listings on the
Platform. For example, as noted above, users agree they use our services “at their
own risk,” with all content provided “as is” and “as available”.
• Third-Party Services and Links: The Platform may contain links to third-party
websites or services. We do not endorse or control those external services and are
not responsible for their content or actions. Use of any third-party site is at your own
risk.
• Data and Technology: We strive to maintain the Platform securely, but we do not
guarantee any level of privacy or confidentiality of data transmitted over the
Internet. We are not responsible for any interception or hacking of your data. Any
translation tools, search features, or automated suggestions are provided as is
without warranty.
• No Indirect or Consequential Damages: To the maximum extent permitted by law,
AutoGuard Naija and its affiliates shall not be liable for any special, incidental,
indirect, punitive, exemplary or consequential damages, or for any loss of profits,
revenue, data or goodwill, arising out of or related to these Terms or your use of the
Platform, even if we have been advised of the possibility of such damages. This
includes losses arising from any breach by us, even if foreseeable. For example,
one marketplace’s terms state that the user agrees not to hold it responsible for any
consequential damages, loss of money, or reputation arising out of platform use.
• Limited Direct Liability: Subject to applicable law, our total liability arising out of
any claim relating to the Platform or these Terms shall not exceed the lesser of (a)
the total fees paid by you to AutoGuard Naija in the 12 months preceding the claim,
or (b) [a specified small amount] as permitted by law. In particular, AutoGuard Naija
is not liable for:
o Losses due to unauthorized use of your account (for which you have failed to
notify us promptly);
o Losses arising from your reliance on user-provided content (reviews,
descriptions, feedback);
o Losses relating to third-party services, products or websites linked on the
Platform.
• Applicable Law: In jurisdictions (if any) where a particular disclaimer of liability is
unenforceable, our liability will be limited to the fullest extent permitted by that
jurisdiction’s law. The foregoing disclaimers and limitations are a fundamental part
of the bargain between us.
You agree to defend, indemnify, and hold harmless AutoGuard Naija and its officers,
directors, employees and agents from and against any claims, liabilities, damages, losses
or expenses (including legal fees) arising from or related to your violation of these Terms,
your misuse of the Platform, your breach of any third-party rights (including intellectual
property or privacy rights), or any other conduct by you. We reserve the right, at our own
expense, to assume the exclusive defense and control of any matter subject to
indemnification.
• By AutoGuard Naija: If you breach these Terms or any policy (e.g., posting illegal
content, failing to pay fees, or misusing the Platform), AutoGuard Naija may, in its
sole discretion, suspend or terminate your access to the Platform without notice.
• By User: You may close your account at any time by notifying AutoGuard Naija.
Upon closure, you will no longer have access to account-only features. Any content
you have posted may be anonymized or deleted as described above.
• Effect of Termination: Terminating these Terms or your account does not release
you from liability for your previous actions (e.g. payment obligations). All
disclaimers and limitation provisions will survive termination. Any licenses granted
(such as the license to use your User Content) will terminate when your content is
removed, but any content already published or distributed may remain.
AutoGuard Naija may revise these Terms from time to time. Any changes will be effective
when posted on the Platform, and the “Effective Date” above will be updated. We will
make reasonable efforts to notify users of significant changes (for example, by email or site
notification). By continuing to use the Platform after changes are posted, you agree to the
new Terms. If you disagree with any change, you must stop using the Platform.
These Terms are governed by and construed in accordance with the laws of the Federal
Republic of Nigeria. The Electronic Transactions Act, 2023 provides the framework for
electronic contracts and consumer protection in Nigeria, and the Federal Competition
and Consumer Protection Act (FCCPA) 2018 protects consumer rights in digital
commerce. You agree to submit to the exclusive jurisdiction of the Nigerian courts for any
disputes arising under these Terms. Any legal action or proceeding relating to these Terms
or the Platform shall be instituted in courts of competent jurisdiction in Nigeria.
• Entire Agreement: These Terms, together with our Privacy Policy (which governs
our use of your personal data), constitute the entire agreement between you and
AutoGuard Naija regarding the Platform. If any provision of these Terms is found
invalid or unenforceable, the remaining provisions will continue in full force and
effect.
• No Waiver: Failure by AutoGuard Naija to enforce any right or provision in these
Terms shall not be deemed a waiver of such right or provision.
• Assignment: You may not assign your rights or obligations under these Terms
without our written consent. We may assign our rights and obligations to any
affiliate or successor.
• Notices: We may provide notices by posting them on the Platform or by emailing
the account email. You agree that notice by email or through the Platform is
sufficient.
• Translation: If these Terms are translated into another language, the English
version governs.
By using AutoGuard Naija, you acknowledge that you have read, understood, and agree to
be bound by these Terms and all cited policies and laws.
